Windows live movie maker is free and does all that.
If you need something a cut above, there is Adobe's Premier Pro and Sony's Vegas Pro. Premier is the more powerful of the two, but Vegas is definitely more intuitive and easier to get a handle on. I sat around scratching my head for a few hours with Premier before I swapped over; and got a handle on things pretty much right away.
